These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Dolos Technologies, Inc. ("Dolos," "we," "us," or "our") governing your access to and use of our fraud detection platform, website, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
Dolos provides a software-as-a-service (SaaS) platform designed to detect and prevent internal fraud, embezzlement, and financial irregularities within healthcare practices and professional service organizations. Our Services include:
- Integration with practice management systems (PMS)
- Automated monitoring and analysis of financial transactions
- Anomaly detection using advanced analytics and machine learning
- Real-time alerts and notifications
- Reporting and dashboard functionality
- Support and consultation services
3. Account Registration and Security
3.1 Account Creation
To access the Services, you must create an account and provide accurate, complete, and current information. You agree to update your information promptly if it changes.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Use strong, unique passwords and enable multi-factor authentication
- Notify us immediately of any unauthorized access or security breach
- Not share your account credentials with unauthorized users
- Log out of your account after each session on shared devices
3.3 Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or unlawful activity.
4. Subscription and Payment
4.1 Subscription Plans
Access to the Services requires a paid subscription. Subscription plans, pricing, and features are described on our website and may be modified from time to time. We will provide notice of material pricing changes at least 30 days in advance.
4.2 Billing and Payment
You agree to pay all fees associated with your subscription plan. Payment is due in advance on a monthly or annual basis, as selected. All fees are non-refundable except as expressly stated in these Terms or required by law.
4.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us.
4.4 Late Payments
If payment is not received within 15 days of the due date, we may suspend your access to the Services. Late payments may be subject to interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
5. License and Restrictions
5.1 License Grant
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
5.2 Restrictions
You agree not to:
- Copy, modify, or create derivative works of the Services
- Reverse engineer, decompile, or disassemble the Services
- Sell, resell, sublicense, or lease the Services to third parties
- Use the Services for any unlawful or fraudulent purpose
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to the Services or related systems
- Use the Services to compete with Dolos or develop a competing product
- Remove or alter any proprietary notices or labels
- Use automated tools to access the Services without our consent
6. Data Rights and Responsibilities
6.1 Your Data
You retain all rights to the data you provide to us ("Customer Data"). You grant us a limited license to access, process, and analyze Customer Data solely to provide the Services and as described in our Privacy Policy.
6.2 Data Accuracy
You are responsible for the accuracy, quality, and legality of Customer Data. You represent that you have all necessary rights and consents to provide Customer Data to us.
6.3 Aggregated Data
We may create anonymized, aggregated data derived from Customer Data ("Aggregated Data"). Aggregated Data does not identify you or any individual and may be used by us for any lawful purpose, including improving our Services and developing new features.
6.4 Data Security
We implement industry-standard security measures to protect Customer Data. However, you acknowledge that no system is completely secure, and we cannot guarantee absolute security.
7. Intellectual Property
7.1 Dolos Intellectual Property
The Services, including all software, algorithms, designs, graphics, trademarks, and documentation, are the exclusive property of Dolos and are protected by intellectual property laws. Nothing in these Terms grants you any ownership rights in the Services.
7.2 Feedback
If you provide feedback, suggestions, or ideas about the Services ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback without any obligation to you.
8. Third-Party Integrations
The Services may integrate with third-party practice management systems and other software. You are responsible for ensuring you have the right to connect such third-party services. We are not responsible for the availability, accuracy, or functionality of third-party services.
9. Disclaimers
9.1 No Guarantee of Detection
THE SERVICES ARE DESIGNED TO ASSIST IN DETECTING POTENTIAL FRAUD AND ANOMALIES BUT DO NOT GUARANTEE DETECTION OF ALL FRAUDULENT ACTIVITY. You acknowledge that no fraud detection system is infallible and that you remain responsible for implementing appropriate internal controls and oversight.
9.2 As-Is Basis
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9.3 No Professional Advice
The Services do not constitute legal, financial, accounting, or professional advice. You should consult qualified professionals before making decisions based on information provided by the Services.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- INDIRECT DAMAGES: DOLOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION OR WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- TOTAL LIABILITY: OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO DOLOS DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
- FRAUD LOSSES: WE ARE NOT LIABLE FOR ANY LOSSES RESULTING FROM FRAUD, EMBEZZLEMENT, OR OTHER MISCONDUCT THAT OCCURS DESPITE USE OF THE SERVICES.
11. Indemnification
You agree to indemnify, defend, and hold harmless Dolos, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Your Customer Data
- Any fraudulent or illegal activity by you or your employees
12. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party ("Confidential Information") and to use such information only for purposes of fulfilling obligations under these Terms. Confidential Information does not include information that is publicly available, independently developed, or rightfully received from a third party.
13. Term and Termination
13.1 Term
These Terms are effective upon your acceptance and continue until terminated.
13.2 Termination by You
You may terminate your account at any time by canceling your subscription through your account settings or by contacting us. Termination is effective at the end of your current billing period.
13.3 Termination by Dolos
We may terminate or suspend your access immediately, without prior notice, if you breach these Terms, fail to pay fees, or engage in conduct that we determine is harmful to the Services or other users.
13.4 Effect of Termination
Upon termination, your right to access the Services ceases immediately. We will retain your data for 90 days, during which you may request an export. After 90 days, your data will be permanently deleted. Sections that by their nature should survive termination will survive, including Sections 6, 7, 9, 10, 11, 12, and 14-17.
14. Dispute Resolution
14.1 Informal Resolution
Before initiating formal dispute resolution, you agree to contact us at info@dolos.tech to attempt to resolve the dispute informally.
14.2 Arbitration
Any dispute not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.
14.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the federal or state courts located in Delaware.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any order forms or statements of work, constitute the entire agreement between you and Dolos regarding the Services.
17.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
17.4 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
17.5 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including natural disasters, acts of war, terrorism, pandemics, or government actions.
